1. About us

These Terms of Service apply to your use of the Minas Gems website and to purchases made through it.

The website and business are operated by Jemima Gray, trading as Minas Gems, a sole trader based in England.

In these Terms, “Minas Gems”, “we”, “us” and “our” mean Jemima Gray trading as Minas Gems. “You” and “your” mean the business purchasing or using our products.

Minas Gems is an online supplier of natural gemstones, including Brazilian tourmalines, supplied primarily to jewellers, jewellery designers, makers, collectors and other businesses.

These Terms, together with our Privacy Policy and Returns Policy, govern your use of our website and purchases made from us.

By using our website or placing an order, you confirm that you are acting for purposes relating to a trade, business, craft or profession and not as a consumer.


2. Business-to-business sales only

Minas Gems sells exclusively to business customers.

By placing an order, you confirm that you are purchasing the goods for business purposes, including but not limited to use in jewellery manufacture, jewellery design, resale, trade or other commercial activity.

If you are purchasing as a private consumer rather than in the course of a business, please contact us before placing an order.


3. Our gemstones

We sell natural gemstones, including Brazilian tourmalines and other gemstones as described on individual product pages.

Each gemstone is an individual natural product. Natural variations in colour, tone, clarity, inclusions, transparency, shape and other characteristics are inherent to natural gemstones.

We make reasonable efforts to ensure that product descriptions, measurements, weights, photographs and videos accurately represent the gemstone offered for sale. However, colours may appear differently depending on lighting, photography, screen settings and the device used to view the website.

Any treatments, known characteristics or other relevant information relating to an individual gemstone will be stated in its product description where applicable.

Unless expressly stated otherwise, gemmological certificates or laboratory reports are not included with purchases.

Where a product description identifies a particular treatment, characteristic, inclusion or other feature, that information forms part of the description of the gemstone.


4. Product availability

All gemstones displayed on the website are subject to availability.

Because each gemstone is an individual item, a gemstone may become unavailable before an order is accepted.

We reserve the right to withdraw a gemstone from sale at any time before an order has been accepted.

If a gemstone becomes unavailable after you have placed an order but before we have accepted it, we will notify you and refund any payment already made for that gemstone.


5. Placing an order

When you place an order through our website, you are making an offer to purchase the selected gemstone(s) from Minas Gems.

Your order is not accepted merely because you have received an automated order acknowledgement or because payment has been authorised.

A contract is formed when Minas Gems confirms acceptance of your order by email.

We reserve the right to decline an order before acceptance where, for example:

  • the gemstone is no longer available;

  • there has been an obvious pricing or description error;

  • we are unable to verify the order;

  • we reasonably suspect fraudulent or unauthorised activity; or

  • there is another legitimate reason why we cannot fulfil the order.

If we decline an order after payment has been taken, we will refund the amount paid for the affected order.

Once an order has been accepted, we will normally prepare it for dispatch promptly.


6. Cancellation before dispatch

If you need to cancel an order, please contact us as soon as possible at j.minasgems@gmail.com.

We will try to accommodate cancellation requests received before dispatch.

Because our gemstones are normally prepared for next-day dispatch, cancellation may not be possible once an order has been processed for dispatch.

Once an order has been dispatched, it cannot be cancelled under this section. You may instead use the return procedure described in Section 10, where applicable.

Nothing in these Terms affects any rights you may have where goods are defective, materially misdescribed or otherwise do not conform to the contract.


7. Prices, VAT and payment

All prices displayed on the website are in pounds sterling (GBP).

Prices and availability may change, but any price change will not affect an order that has already been accepted.

Where VAT is applicable, the VAT treatment and total price payable will be displayed at checkout in accordance with applicable law.

You are responsible for ensuring that the billing and business information provided when placing an order is accurate and complete.

Payment must be made in full at the time of purchase unless we have expressly agreed alternative payment terms with you in writing.


8. Delivery

Standard UK delivery is charged at £9.95, unless otherwise stated at checkout.

We will normally aim to dispatch available gemstones promptly, and where stated on the website, on the next working day following acceptance of the order.

Delivery dates and times provided are estimates unless we have expressly agreed a specific delivery date with you.

For higher-value gemstones, we may use an appropriate insured, tracked or signed-for delivery service. The cost of any enhanced delivery arrangements may be reflected in the price of the gemstone.

We are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, severe weather, disruption to transport networks or other events beyond our control.

If a delivery appears to be lost or damaged, please contact us as soon as reasonably possible so that we can investigate with the carrier.


9. Risk and title

Ownership of the gemstone passes to you once we have received payment in full for the gemstone.

Risk in the gemstone passes to you when the gemstone is delivered to you, or to a carrier nominated by you where you have independently arranged that carrier.

Where we arrange delivery using our chosen carrier, we remain responsible for the goods until delivery, subject to any applicable legal rights and the terms of the carrier's service.


10. Returns and exchanges

As Minas Gems sells exclusively to business customers, we offer a contractual return period of 7 calendar days from delivery for eligible standard catalogue gemstones.

If you wish to return an eligible gemstone, you must:

  1. contact us at j.minasgems@gmail.com within 7 calendar days of delivery; and

  2. return the gemstone so that it is received by Minas Gems within that same 7-calendar-day period.

The return must be agreed with us before the gemstone is sent back.

The gemstone must be returned in the same condition in which it was supplied, with any original packaging or documentation supplied with the gemstone.

The buyer is responsible for the cost and risk of returning the gemstone to Minas Gems. We strongly recommend using a secure, tracked and appropriately insured delivery service.

Returned gemstones will be inspected on receipt.

Where a gemstone has been damaged, altered, treated, mounted, set, recut, polished further or otherwise changed after delivery, we may refuse the return or reduce any refund to reflect the resulting loss in value.

The 7-day return period does not apply to:

  • custom-cut gemstones;

  • gemstones that have been mounted or set after delivery;

  • gemstones that have been altered or treated at the buyer's request; or

  • custom-sourced gemstones with a purchase value exceeding £1,000, unless we have expressly agreed in writing before the order is placed that the gemstone is returnable.

Custom-sourced gemstones valued at £1,000 or less may be returned under the same 7-day period unless otherwise agreed in writing.

This returns policy does not affect any rights you may have where a gemstone is defective, materially different from its description or otherwise does not conform to the contract.

Exchanges

Where a return is eligible under this Section, we may offer an exchange for another available gemstone at our discretion.

Any difference in price between the original gemstone and replacement gemstone must be paid or refunded as applicable.

An exchange must be agreed with us before the original gemstone is returned.


11. Defective, damaged or incorrectly described gemstones

We take care to inspect and describe our gemstones accurately.

If you believe a gemstone was defective, damaged before delivery, materially misdescribed or otherwise failed to conform to the contract when supplied, please contact us promptly at j.minasgems@gmail.com, providing details of the issue and, where appropriate, photographs.

We may ask you to return the gemstone for inspection.

Where a gemstone is found to have been defective, damaged before delivery or materially misdescribed, we will work with you to determine the appropriate remedy in accordance with applicable law.

Nothing in these Terms excludes or restricts any liability or legal right that cannot lawfully be excluded or restricted.


12. Custom-cut and custom-sourced gemstones

Some gemstones may be available by special request.

Where a gemstone is custom-cut to your specifications, the order is non-refundable and non-exchangeable once cutting or other agreed work has commenced, unless the gemstone is defective or does not conform to the agreed specification.

Where a gemstone is custom-sourced specifically for you, the return terms will be confirmed before the order is placed.

Custom-sourced gemstones with a purchase value exceeding £1,000 are non-returnable unless we have expressly agreed otherwise in writing before the order is placed.


13. Intellectual property

All content on the Minas Gems website, including photographs, videos, text, logos, graphics, product descriptions, branding and other materials, belongs to Minas Gems or is used with permission from the relevant rights holder.

You may use the website and its content for legitimate business purposes in connection with considering or purchasing our products.

You must not reproduce, copy, modify, distribute, republish, sell or commercially exploit our website content without our prior written permission, except where permitted by law.


14. Website use

You agree to use the website only for lawful purposes.

You must not:

  • interfere with the operation or security of the website;

  • attempt to gain unauthorised access to the website or its systems;

  • introduce malicious code, viruses or other harmful material;

  • use the website to commit fraud or other unlawful activity;

  • copy or scrape substantial amounts of website content without our permission; or

  • use the website in a way that could damage Minas Gems or prevent other users from accessing it.

We may suspend or restrict access to the website where reasonably necessary to protect the website, our business or other users.


15. Third-party services and links

Our website may use third-party services, including Shopify, payment providers, delivery providers and other service providers.

We are not responsible for the operation, availability or content of third-party websites or services that we do not control.

Your use of a third-party service may also be subject to that provider's own terms and privacy policy.


16. Shopify

Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to sell our products to you.

Your purchase is made directly with Jemima Gray trading as Minas Gems, not with Shopify.

Shopify is not responsible for the goods supplied by Minas Gems or for the contractual relationship between Minas Gems and its customers.


17. Privacy

Personal information provided through the website is handled in accordance with our Privacy Policy.

Our Privacy Policy explains what personal information we collect, how we use it, how we share it and your rights in relation to your personal information.


18. Website information and errors

We take reasonable care to ensure that information on our website is accurate and up to date.

However, occasional errors may occur, including errors relating to product descriptions, prices, availability or delivery information.

If we discover an obvious error before an order is accepted, we may correct the error and, where necessary, contact you before accepting the order.

If an obvious error is discovered after an order has been accepted, we will contact you to discuss the appropriate resolution.


19. Our liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Subject to that, we will not be responsible for indirect or consequential loss, loss of profits, loss of business, loss of revenue, loss of anticipated savings or loss of opportunity arising from your purchase or use of our products, except where such loss forms part of a claim that cannot lawfully be excluded.

As our products are supplied to businesses, you are responsible for satisfying yourself that a gemstone is suitable for your intended commercial purpose, including jewellery manufacture, setting or resale, unless you have expressly relied on a specific representation or recommendation made by us.

Nothing in this Section limits any rights you may have in relation to goods that are defective, materially misdescribed or otherwise fail to conform to the contract.


20. Events outside our control

We will not be liable for failure or delay in performing our obligations where the failure or delay results from circumstances beyond our reasonable control.

Such circumstances may include natural disasters, severe weather, fire, flood, industrial disputes, interruption to transport, telecommunications or utilities, government action, war, civil unrest, pandemics or other events outside our reasonable control.

Where such an event affects an order, we will make reasonable efforts to inform you and minimise any resulting delay.


21. Changes to these Terms

We may update these Terms from time to time.

The version applicable to your order will be the version in force when your order is accepted, unless a change is required by law.

The latest version of these Terms will always be available on this page.


22. Governing law and jurisdiction

These Terms and any contract between you and Minas Gems are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from these Terms or any contract between us, subject to any mandatory rights you may have under applicable law.


23. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.


24. No waiver

If we do not immediately enforce a right under these Terms, this does not mean that we have waived that right.


25. Entire agreement

These Terms, together with the policies and documents expressly referred to in them, form the agreement between you and Minas Gems in relation to the relevant purchase.

Any specific terms agreed in writing between Minas Gems and a business customer for an individual order will take precedence over these Terms to the extent of any inconsistency.
